Terms & Conditions
These Terms & Conditions ("Terms") apply to your use of our website, atelierhelix.io (the "Website"), our client portal at portal.atelierhelix.io (the "Portal"), and the automation, website and digital services we provide (together, the "Services"). The Website, Portal and Services are operated by Atelier Helix LLC ("Atelier Helix," "we," "us," or "our").
By using the Website, the Portal or our Services, you agree to these Terms. If you don't agree, please don't use them. Our Privacy Policy explains how we collect and use information and is part of these Terms.
1. Our Services
The Website describes the automation and website services we offer. Work for a client is governed by the proposal or service agreement that client signs (your "Agreement"). If your Agreement conflicts with these Terms, your Agreement controls.
2. Pricing and Payments
- Prices on the Website are in U.S. dollars and may change without notice. The price that applies to you is the one in your signed proposal.
- Payments are due on the schedule in your signed proposal, such as a deposit followed by milestone payments.
- Card and bank (ACH) payments are processed by Stripe and are also subject to Stripe's terms. You may also pay by check or Zelle where your proposal allows.
- Monthly plans are month to month and can be cancelled with 30 days' written notice, unless your Agreement sets a minimum term.
- Refunds, if any, are handled as described in your Agreement.
3. The Client Portal
The Portal is available by invitation only to our clients. You sign in with a one-time link sent to your email address, so anyone with access to that email account can access your Portal account. You agree to:
- Keep your email account secure and not share your sign-in links
- Give us accurate contact and billing information and keep it up to date
- Tell us right away at hello@atelierhelix.io if you think someone has accessed your account without permission
You are responsible for activity under your Portal account. We may suspend Portal access if we believe it is being misused or to protect the security of the Portal.
4. Electronic Signatures and Records
When you accept a proposal in the Portal, you agree that your electronic acceptance is your signature and is as binding as a handwritten one, as permitted by the federal Electronic Signatures in Global and National Commerce Act and Florida's Uniform Electronic Transaction Act.
We keep a record of each acceptance, including the date and time you signed and a digital fingerprint (checksum) of the signed document, so either of us can confirm later that it was not changed. You agree to receive proposals, invoices, receipts and other notices electronically, by email or through the Portal.
5. Your Content and Responsibilities
You may give us logos, photos, text, customer lists and other materials to use in your project ("Your Content"). You keep ownership of Your Content. You confirm that you have the rights to share it and that our use of it for your project won't violate anyone else's rights.
When we run automations for your business, such as missed-call text-back, lead follow-up or review requests, we process your customers' information on your behalf, as described in Section 6 of our Privacy Policy. You are responsible for:
- Having the consent your customers must give before they receive texts, calls or emails from your business
- Complying with the laws that apply to your business communications, including the Telephone Consumer Protection Act and the CAN-SPAM Act
- Telling your customers how you use their information, for example in your own privacy policy
- Reviewing and approving the messages, content and settings we prepare for you before they go live
6. Automations and AI Features
Some Services use automation and artificial intelligence to draft messages, answer questions or sort leads. Automated and AI-generated output can be incomplete or wrong. You are responsible for reviewing it before relying on it, and it should not be treated as legal, tax, financial or medical advice.
7. No Guaranteed Results
We work hard to help you recover calls, answer leads and earn reviews, but results depend on many things outside our control. Examples and figures on the Website are illustrations, not promises. We don't guarantee any specific number of leads, reviews, rankings or revenue.
8. Text Messaging Terms
If you agree to receive texts from Atelier Helix, we'll send messages about your inquiry, appointments and account. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help, or email hello@atelierhelix.io. Carriers are not liable for delayed or undelivered messages. Consent to receive texts is not a condition of buying anything. See Section 4 of our Privacy Policy for how we handle your number.
9. Acceptable Use
Please don't misuse the Website, the Portal or our Services. That includes:
- Trying to break, overload or get around the security of the Website or Portal
- Accessing another client's information or anyone else's Portal account
- Submitting false information or someone else's information
- Sending spam or unlawful content through our forms or Services
- Copying the Website's design or content for your own commercial use
10. Third-Party Services
We rely on trusted providers, such as those listed in Section 5 of our Privacy Policy, to host the Website and Portal, process payments, and send emails and texts. Their own terms may also apply to you. We are not responsible for outages or failures of services we don't control, but we will work with our providers to restore service as quickly as we can.
11. Intellectual Property
The Website's and Portal's design, text, graphics and software, and the Atelier Helix name and logo, belong to Atelier Helix. You may view and share the Website for personal or internal business purposes. Ownership of work we create for clients is set out in each client's Agreement.
12. Links to Other Sites
The Website and Portal link to other websites, including client sites and our providers' pages, such as Stripe's checkout. We're not responsible for the content or practices of sites we don't control.
13. Disclaimer
The Website, the Portal and their content are provided "as is" and "as available," without warranties of any kind, to the fullest extent the law allows. Information on the Website is general and isn't legal, tax or financial advice. Warranties for client work, if any, are set out in your Agreement.
14. Limitation of Liability
To the fullest extent the law allows, Atelier Helix won't be liable for any indirect, incidental, special or consequential damages, or lost profits, arising from your use of the Website or the Portal. Our total liability for any claim related to the Website or the Portal is limited to $100. Liability for client work is set out in your Agreement.
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Orange County, Florida.
16. Changes and Contact
Changes to These Terms
We may update these Terms as our Services, technology or the law change. When we do, we will update the effective date at the top. We will highlight significant changes on the Website or email them to active clients. Continuing to use the Website, the Portal or our Services after an update means you accept the updated Terms.
